Corporate governance

The Board believes that maintaining high standards of governance is an important ingredient to drive success. While the formal rules that apply to RPS as a listed Group are important in maintaining standards in this area, good governance is also about culture, behaviours and how we do business. The Board is therefore committed to ensuring that the Group’s values and standards are set at the top and embedded throughout the Group. Our annual review of our compliance with Corporate Governance throughout the year can be found in the Annual Report.

The Board continues to operate within the framework of a Board Charter which clarifies the respective roles of the Chairman, Chief Executive and Non-Executives as well as incorporating a schedule of matters reserved for Board approval and the terms of reference of the Board Committees. A copy of the Board Charter and our terms of refence as they apply to the Audit, Remuneration, Nomination and Disclosure Committee are attached below.

Appointment of Chairman at the AGM

During the year, the Chairman received a 22% vote against his re-election. Our Senior Independent Director Liz Peace wrote to our major shareholders and those shareholders who voted against the resolution, to reiterate the Board’s support for Ken Lever to continue as Chairman of the Company and why we believe he is the right person to lead the Company.
